ANY USE, 89REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE 90OF THIS AGREEMENT.</span> </p> 91 92<p><b><span style='font-size:10.0pt'>1. DEFINITIONS</span></b> </p> 93 94<p><span style='font-size:10.0pt'>"Contribution" means:</span> </p> 95 96<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a) 97in the case of the initial Contributor, the initial code and documentation 98distributed under this Agreement, and<br clear=left> 99b) in the case of each subsequent Contributor:</span></p> 100 101<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i) 102changes to the Program, and</span></p> 103 104<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii) 105additions to the Program;</span></p> 106 107<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>where 108such changes and/or additions to the Program originate from and are distributed 109by that particular Contributor. A Contribution 'originates' from a Contributor 110if it was added to the Program by such Contributor itself or anyone acting on 111such Contributor's behalf. Contributions do not include additions to the 112Program which: (i) are separate modules of software distributed in conjunction 113with the Program under their own license agreement, and (ii) are not derivative 114works of the Program. </span></p> 115 116<p><span style='font-size:10.0pt'>"Contributor" means any person or 117entity that distributes the Program.</span> </p> 118 119<p><span style='font-size:10.0pt'>"Licensed Patents " mean patent 120claims licensable by a Contributor which are necessarily infringed by the use 121or sale of its Contribution alone or when combined with the Program. </span></p> 122 123<p><span style='font-size:10.0pt'>"Program" means the Contributions 124distributed in accordance with this Agreement.</span> </p> 125 126<p><span style='font-size:10.0pt'>"Recipient" means anyone who 127receives the Program under this Agreement, including all Contributors.</span> </p> 128 129<p><b><span style='font-size:10.0pt'>2. GRANT OF RIGHTS</span></b> </p> 130 131<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a) 132Subject to the terms of this Agreement, each Contributor hereby grants Recipient 133a non-exclusive, worldwide, royalty-free copyright license to<span 134style='color:red'> </span>reproduce, prepare derivative works of, publicly 135display, publicly perform, distribute and sublicense the Contribution of such 136Contributor, if any, and such derivative works, in source code and object code 137form.</span></p> 138 139<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) 140Subject to the terms of this Agreement, each Contributor hereby grants 141Recipient a non-exclusive, worldwide,<span style='color:green'> </span>royalty-free 142patent license under Licensed Patents to make, use, sell, offer to sell, import 143and otherwise transfer the Contribution of such Contributor, if any, in source 144code and object code form. This patent license shall apply to the combination 145of the Contribution and the Program if, at the time the Contribution is added 146by the Contributor, such addition of the Contribution causes such combination 147to be covered by the Licensed Patents. The patent license shall not apply to 148any other combinations which include the Contribution. No hardware per se is 149licensed hereunder. </span></p> 150 151<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>c) 152Recipient understands that although each Contributor grants the licenses to its 153Contributions set forth herein, no assurances are provided by any Contributor 154that the Program does not infringe the patent or other intellectual property 155rights of any other entity. Each Contributor disclaims any liability to Recipient 156for claims brought by any other entity based on infringement of intellectual 157property rights or otherwise. As a condition to exercising the rights and 158licenses granted hereunder, each Recipient hereby assumes sole responsibility 159to secure any other intellectual property rights needed, if any. For example, 160if a third party patent license is required to allow Recipient to distribute 161the Program, it is Recipient's responsibility to acquire that license before 162distributing the Program.</span></p> 163 164<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>d) 165Each Contributor represents that to its knowledge it has sufficient copyright 166rights in its Contribution, if any, to grant the copyright license set forth in 167this Agreement. </span></p> 168 169<p><b><span style='font-size:10.0pt'>3. REQUIREMENTS</span></b> </p> 170 171<p><span style='font-size:10.0pt'>A Contributor may choose to distribute the 172Program in object code form under its own license agreement, provided that:</span> 173</p> 174 175<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a) 176it complies with the terms and conditions of this Agreement; and</span></p> 177 178<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) 179its license agreement:</span></p> 180 181<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>i) 182effectively disclaims on behalf of all Contributors all warranties and 183conditions, express and implied, including warranties or conditions of title 184and non-infringement, and implied warranties or conditions of merchantability 185and fitness for a particular purpose; </span></p> 186 187<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>ii) 188effectively excludes on behalf of all Contributors all liability for damages, 189including direct, indirect, special, incidental and consequential damages, such 190as lost profits; </span></p> 191 192<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iii) 193states that any provisions which differ from this Agreement are offered by that 194Contributor alone and not by any other party; and</span></p> 195 196<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>iv) 197states that source code for the Program is available from such Contributor, and 198informs licensees how to obtain it in a reasonable manner on or through a 199medium customarily used for software exchange.<span style='color:blue'> </span></span></p> 200 201<p><span style='font-size:10.0pt'>When the Program is made available in source 202code form:</span> </p> 203 204<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>a) 205it must be made available under this Agreement; and </span></p> 206 207<p class=MsoNormal style='margin-left:.5in'><span style='font-size:10.0pt'>b) a 208copy of this Agreement must be included with each copy of the Program. </span></p> 209 210<p><span style='font-size:10.0pt'>Contributors may not remove or alter any 211copyright notices contained within the Program. </span></p> 212 213<p><span style='font-size:10.0pt'>Each Contributor must identify itself as the 214originator of its Contribution, if any, in a manner that reasonably allows 215subsequent Recipients to identify the originator of the Contribution. </span></p> 216 217<p><b><span style='font-size:10.0pt'>4. COMMERCIAL DISTRIBUTION</span></b> </p> 218 219<p><span style='font-size:10.0pt'>Commercial distributors of software may 220accept certain responsibilities with respect to end users, business partners 221and the like. While this license is intended to facilitate the commercial use 222of the Program, the Contributor who includes the Program in a commercial 223product offering should do so in a manner which does not create potential 224liability for other Contributors. Therefore, if a Contributor includes the 225Program in a commercial product offering, such Contributor ("Commercial 226Contributor") hereby agrees to defend and indemnify every other 227Contributor ("Indemnified Contributor") against any losses, damages and 228costs (collectively "Losses") arising from claims, lawsuits and other 229legal actions brought by a third party against the Indemnified Contributor to 230the extent caused by the acts or omissions of such Commercial Contributor in 231connection with its distribution of the Program in a commercial product 232offering. The obligations in this section do not apply to any claims or Losses 233relating to any actual or alleged intellectual property infringement. In order 234to qualify, an Indemnified Contributor must: a) promptly notify the Commercial 235Contributor in writing of such claim, and b) allow the Commercial Contributor 236to control, and cooperate with the Commercial Contributor in, the defense and 237any related settlement negotiations. The Indemnified Contributor may participate 238in any such claim at its own expense.</span> </p> 239 240<p><span style='font-size:10.0pt'>For example, a Contributor might include the 241Program in a commercial product offering, Product X. That Contributor is then a 242Commercial Contributor. If that Commercial Contributor then makes performance 243claims, or offers warranties related to Product X, those performance claims and 244warranties are such Commercial Contributor's responsibility alone. Under this 245section, the Commercial Contributor would have to defend claims against the 246other Contributors related to those performance claims and warranties, and if a 247court requires any other Contributor to pay any damages as a result, the 248Commercial Contributor must pay those damages.</span> </p> 249 250<p><b><span style='font-size:10.0pt'>5. NO WARRANTY</span></b> </p> 251 252<p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS 253AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT 254WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, 255WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, 256MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely 257responsible for determining the appropriateness of using and distributing the 258Program and assumes all risks associated with its exercise of rights under this 259Agreement , including but not limited to the risks and costs of program errors, 260compliance with applicable laws, damage to or loss of data, programs or 261equipment, and unavailability or interruption of operations. </span></p> 262 263<p><b><span style='font-size:10.0pt'>6. DISCLAIMER OF LIABILITY</span></b> </p> 264 265<p><span style='font-size:10.0pt'>EXCEPT AS EXPRESSLY SET FORTH IN THIS 266AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR 267ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES 268(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY 269OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING 270NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF 271THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF 272THE POSSIBILITY OF SUCH DAMAGES.</span> </p> 273 274<p><b><span style='font-size:10.0pt'>7. GENERAL</span></b> </p> 275 276<p><span style='font-size:10.0pt'>If any provision of this Agreement is invalid 277or unenforceable under applicable law, it shall not affect the validity or 278enforceability of the remainder of the terms of this Agreement, and without 279further action by the parties hereto, such provision shall be reformed to the 280minimum extent necessary to make such provision valid and enforceable.</span> </p> 281 282<p><span style='font-size:10.0pt'>If Recipient institutes patent litigation 283against any entity (including a cross-claim or counterclaim in a lawsuit) 284alleging that the Program itself (excluding combinations of the Program with 285other software or hardware) infringes such Recipient's patent(s), then such 286Recipient's rights granted under Section 2(b) shall terminate as of the date 287such litigation is filed. </span></p> 288 289<p><span style='font-size:10.0pt'>All Recipient's rights under this Agreement 290shall terminate if it fails to comply with any of the material terms or 291conditions of this Agreement and does not cure such failure in a reasonable 292period of time after becoming aware of such noncompliance. If all Recipient's 293rights under this Agreement terminate, Recipient agrees to cease use and 294distribution of the Program as soon as reasonably practicable. However, 295Recipient's obligations under this Agreement and any licenses granted by 296Recipient relating to the Program shall continue and survive. </span></p> 297 298<p><span style='font-size:10.0pt'>Everyone is permitted to copy and distribute 299copies of this Agreement, but in order to avoid inconsistency the Agreement is 300copyrighted and may only be modified in the following manner. The Agreement 301Steward reserves the right to publish new versions (including revisions) of 302this Agreement from time to time. No one other than the Agreement Steward has 303the right to modify this Agreement. The Eclipse Foundation is the initial 304Agreement Steward. The Eclipse Foundation may assign the responsibility to 305serve as the Agreement Steward to a suitable separate entity. Each new version 306of the Agreement will be given a distinguishing version number. The Program 307(including Contributions) may always be distributed subject to the version of 308the Agreement under which it was received. In addition, after a new version of 309the Agreement is published, Contributor may elect to distribute the Program 310(including its Contributions) under the new version. Except as expressly stated 311in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to 312the intellectual property of any Contributor under this Agreement, whether 313expressly, by implication, estoppel or otherwise. All rights in the Program not 314expressly granted under this Agreement are reserved.</span> </p> 315 316<p><span style='font-size:10.0pt'>This Agreement is governed by the laws of the 317State of New York and the intellectual property laws of the United States of 318America. No party to this Agreement will bring a legal action under this 319Agreement more than one year after the cause of action arose.
